BoslogShip Platform Agreement

BoslogShip provides shipping workflow software for self-service and approved business users, including Shopify order sync, manual and batch order creation, rate comparison, label purchase, label storage, tracking updates, cancellation review, wallet records, and Open API workflows.

BoslogShip 为自助注册及审核通过的商业用户提供物流打单系统，包括 Shopify 订单同步、手动与批量创建订单、渠道比价、购买面单、存储面单、回传追踪、取消审核、钱包流水和 Open API 对接。

Available carriers, services, rates, label purchase permissions, and API access depend on the products and channels enabled for each client account.

客户可使用的物流商、服务、价格、面单购买权限和 API 权限，以 BoslogShip 为该客户账户实际开通的产品和渠道为准。

BoslogShip may allow self-service account registration without manual approval. The applicant must provide accurate company, contact, billing, shipping, and platform connection information.

BoslogShip 可允许用户无需人工审核自助注册账户。申请人必须提供真实准确的公司、联系人、账务、发货地址和平台连接信息。

BoslogShip may place new self-service accounts into a default client group. Available services, prices, credit, API access, and purchasing permissions may remain limited until BoslogShip configures or approves the account.

BoslogShip 可将新的自助注册账户放入默认客户组。可用服务、价格、授信、API 权限和购买权限，可能在 BoslogShip 配置或批准前受到限制。

Users are responsible for all actions performed under their account, including orders created by employees, Shopify connections, batch uploads, and third-party systems connected through API tokens.

BoslogShip uses a prepaid wallet model. Clients must maintain sufficient available balance or approved credit line before purchasing labels, unless BoslogShip explicitly allows otherwise.

BoslogShip 使用钱包预付模式。除非 BoslogShip 明确允许，客户购买面单前必须保持足够可用余额或已批准授信额度。

Online card payments are processed by Stripe. BoslogShip does not store raw card numbers, CVC codes, or full payment credentials. Large top-ups may be handled manually through BoslogShip support.

在线银行卡支付由 Stripe 处理。BoslogShip 不保存原始卡号、CVC 或完整支付凭证。大额充值可通过 BoslogShip 客服人工处理。

A successful top-up is posted to the wallet only after BoslogShip receives and verifies Stripe payment confirmation through a signed webhook or equivalent Stripe-confirmed status.

If label purchase fails because available balance is insufficient, BoslogShip may save the order as a draft and direct the user to a quick top-up flow.

By using Stripe Checkout to top up the wallet, the client authorizes BoslogShip and Stripe to save the payment method for future off-session charges related to the BoslogShip account.

客户通过 Stripe Checkout 充值，即授权 BoslogShip 与 Stripe 保存该支付方式，用于该 BoslogShip 账户后续相关的离线扣款。

Future off-session charges may be used only for legitimate BoslogShip account balances, including carrier adjustments, underpaid labels, package correction charges, address correction charges, oversized or residential surcharges, chargebacks, failed or reversed payments, and other shipping fees caused by carrier/provider settlement.

后续离线扣款仅用于合法的 BoslogShip 账户应收款，包括物流商账单调整、少付面单、重量尺寸修正费、地址修正费、超大件或住宅附加费、chargeback、失败或撤销的付款，以及物流商/服务商结算产生的其他运输费用。

Saved payment methods may also be used, after the client's authorization, to automatically top up the wallet for the exact shortfall needed to complete a label purchase. If the automatic charge fails or no saved payment method is available, BoslogShip may redirect the user to Stripe Checkout and keep the order as a draft until payment is completed.

在客户授权后，保存的支付方式也可用于按购买面单所需的实际差额自动充值钱包。若自动扣款失败或没有可用的保存支付方式，BoslogShip 可跳转至 Stripe Checkout，并在付款完成前将订单保留为草稿。

BoslogShip will record each wallet charge, top-up, adjustment, auto-debit attempt, success, or failure in auditable system records. If an off-session charge fails, the unpaid amount remains due.

BoslogShip 会对每笔钱包扣费、充值、调整、自动补扣尝试、成功或失败保留可审计记录。若离线扣款失败，未结金额仍由客户承担。

Rates displayed in BoslogShip are client-facing rates available at quote time. Final label purchase depends on carrier rules, provider response, address validity, package data, service availability, and account configuration.

BoslogShip 显示的价格为报价时客户可见价格。最终能否购买面单取决于物流商规则、服务商响应、地址有效性、包裹数据、服务可用性和账户配置。

BoslogShip is a shipping technology platform and may use carrier accounts, carrier providers, and service partners to quote, purchase, void, retrieve, and reconcile labels. BoslogShip is not the final transportation carrier unless expressly stated.

BoslogShip 是物流技术平台，可使用物流商账户、渠道服务商和合作方进行报价、购买面单、作废、取回和对账。除非明确说明，BoslogShip 不是最终承运物流商。

The client is responsible for accurate ship-from, ship-to, weight, dimensions, package count, product, customs, reference, and service selection information. Incorrect or incomplete data may cause label failure, delayed shipment, additional carrier charges, or cancellation restrictions.

客户负责准确填写发货地址、收货地址、重量、尺寸、包裹数量、产品、海关、reference 和服务选择等信息。信息错误或缺失可能导致面单失败、运输延误、物流商追加费用或无法取消。

Cancellation requests are subject to BoslogShip workflow review and carrier/provider void rules. Submitting a cancellation request does not guarantee a refund.

取消申请需经过 BoslogShip 流程审核，并受物流商/服务商作废规则限制。提交取消申请不代表一定可以退款。

If a refund is approved, BoslogShip posts the refund according to the confirmed eligible amount and may deduct applicable review, cancellation, provider, or service fees.

若退款获批，BoslogShip 按确认可退金额入账，并可能扣除适用的审核费、取消费、服务商费用或服务费。

If adjustments or reversals cause the wallet available balance to become negative, BoslogShip may restrict new label purchases, API label purchases, or account features until the unpaid balance is resolved.

若调整或冲正导致钱包可用余额为负，BoslogShip 可限制新的面单购买、API 购买面单或账户功能，直到未结余额处理完成。

When connected to Shopify, BoslogShip may access and process store, product, variant, order, fulfillment, tracking, and location data needed to provide shipping workflows.

When Open API credentials or tokens are enabled, the client is responsible for protecting tokens and for orders, label purchases, cancellations, and requests submitted by connected third-party systems.

Users must not use BoslogShip for unlawful shipments, fraudulent activity, prohibited goods, abusive automation, credential sharing, unauthorized access, or activity that violates carrier, marketplace, platform, or legal requirements.

用户不得将 BoslogShip 用于违法运输、欺诈、禁运品、滥用自动化、共享凭证、未授权访问，或违反物流商、平台、市场或法律要求的行为。

BoslogShip may suspend, restrict, or terminate access when needed to protect system security, carrier relationships, payment risk, merchants, buyers, or platform integrity.

为保护系统安全、物流商合作、支付风险、商家、买家或平台完整性，BoslogShip 可暂停、限制或终止账户访问。

BoslogShip system records, wallet ledger entries, carrier/provider responses, Stripe records, webhook logs, and admin review records may be used to investigate billing, label, cancellation, and API disputes.

BoslogShip 系统记录、钱包流水、物流商/服务商响应、Stripe 记录、webhook 日志和管理端审核记录，可用于调查账务、面单、取消和 API 争议。

To the maximum extent allowed by applicable law, BoslogShip is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost sales, platform downtime, carrier delay, marketplace penalties, or lost data.

在适用法律允许的最大范围内，BoslogShip 不对间接、附带、特殊、后果性、惩戒性或惩罚性损害承担责任，包括利润损失、销售损失、平台停机、物流延误、市场平台处罚或数据丢失。

The client agrees to defend and indemnify BoslogShip against claims, losses, penalties, chargebacks, carrier fees, taxes, duties, and costs arising from the client's shipments, account use, inaccurate data, prohibited goods, or breach of this agreement.

因客户运输、账户使用、错误数据、禁运品或违反本协议导致的索赔、损失、罚款、chargeback、物流商费用、税费、关税和成本，客户同意为 BoslogShip 抗辩并承担赔偿责任。

Approved affiliates may receive a referral link, referral code, or other approved attribution method from BoslogShip. Affiliate status, referral eligibility, commission rules, and payout access remain subject to BoslogShip approval, account status, compliance review, and program settings.

审核通过的 Affiliate 可获得 BoslogShip 提供的推荐链接、推荐代码或其他认可的归因方式。Affiliate 状态、推荐资格、佣金规则和提现权限，以 BoslogShip 审核、账户状态、合规检查和项目设置为准。

Commission rates are assigned by BoslogShip in the affiliate program settings and may vary by affiliate, referred client, product, service, channel, written approval, or manual override. Any manually configured client-level commission override takes precedence over the affiliate default setting for that referred client.

佣金比例由 BoslogShip 在 Affiliate 项目设置中配置，并可因 Affiliate、归属客户、产品、服务、渠道、书面批准或人工 override 而不同。若某个归属客户存在手动佣金 override，则该客户的手动设置优先于 Affiliate 默认设置。

Commission is calculated only on eligible successful non-sample label charges recorded by BoslogShip. Labels that are voided, refunded, cancelled, reversed, unpaid, sample-only, disputed, duplicated, fraudulent, or later adjusted into an ineligible state do not create final commission entitlement.

佣金仅基于 BoslogShip 记录的符合条件的、成功的、非测试面单扣费计算。已作废、退款、取消、冲正、未支付、仅测试、争议、重复、欺诈或后续调整为不符合条件状态的面单，不形成最终佣金权益。

Affiliate commissions are subject to the settlement hold configured by BoslogShip before becoming payable. During the hold period, BoslogShip may review carrier adjustments, refunds, cancellations, payment reversals, chargebacks, rebills, fraud indicators, and account compliance issues.

Affiliate 佣金在成为可支付前，需经过 BoslogShip 配置的结算等待期。在等待期内，BoslogShip 可审核物流商补扣、退款、取消、付款冲正、chargeback、rebill、欺诈风险和账户合规问题。

Chargeback, rebill, refund, cancellation, provider adjustment, payment reversal, or other downstream liability may reduce, reverse, offset, or reclaim related affiliate commissions according to BoslogShip program settings, written approval, and admin review records.

因 chargeback、rebill、退款、取消、服务商补扣、付款冲正或其他后续责任产生的影响，可根据 BoslogShip 项目设置、书面批准和后台审核记录，对相关 Affiliate 佣金进行减少、冲正、抵扣或追回。

Affiliate balances are digital commission records inside BoslogShip and are separate from the client wallet ledger. Payouts require BoslogShip admin review, verified payable balance, valid payout information, and manual or approved payout processing.

Affiliate 余额是 BoslogShip 系统内的数字佣金记录，与客户钱包流水相互独立。提现需经过 BoslogShip 后台审核、确认可支付余额、提供有效收款信息，并通过人工或已批准的提现流程处理。

BoslogShip may suspend, reject, reverse, or terminate affiliate participation for inaccurate application data, self-referrals, abusive traffic, fake accounts, coupon or ad misuse, unauthorized brand bidding, spam, prohibited shipments, payment risk, or activity that harms BoslogShip, carriers, clients, merchants, buyers, or platform integrity.

如存在申请资料不准确、自我推荐、异常流量、虚假账户、优惠券或广告滥用、未经授权的品牌词投放、垃圾信息、禁运品、支付风险，或损害 BoslogShip、物流商、客户、商家、买家或平台完整性的行为，BoslogShip 可暂停、拒绝、冲正或终止 Affiliate 参与资格。

BoslogShip may update this agreement as products, carrier rules, payment workflows, API features, or legal requirements change. Continued use after updates means acceptance of the updated agreement.

BoslogShip 可因产品、物流商规则、支付流程、API 功能或法律要求变化而更新本协议。更新后继续使用即视为接受更新后的协议。
